Synchronoss agrees to acquire FusionOne

Synchronoss has entered into an agreement to acquire FusionOne, Inc., the established leader in mobile content transfer and synchronization technology. Synchronoss will pay approximately $40 million, consisting of approximately $32 million in cash and $8 million in Synchronoss stock. Synchronoss may also pay up to an additional $35 million in cash and stock based on FusionOne's business achieving certain performance targets through 2011. Synchronoss expects the transaction to close during July 2010.
